Nicole Shanklin is Senior Counsel at Chamberlain Hrdlicka, where her practice covers an array of complex corporate, transactional and governance matters. She had great success in her prior tenure with Chamberlain Hrdlicka, and as general counsel and corporate secretary of a $650 million, private equity backed, global chemical distribution company (operations in the US, Europe, India, and China) where she had sole responsibility for managing all of the company’s legal, human resource, and regulatory affairs. Nicole is experienced managing acquisition, merger and divestiture transactions, corporate integrations, a full range of commercial transactions, health, safety and environmental matters, corporate governance, securities and exchange compliance, crisis management and risk mitigation, regulatory compliance and licensing at local, state, and national levels, and representing borrowers and lenders in commercial loan transactions.

  • Represented sellers of battery storage and technology business.
  • Represented borrower in renewable energy in negotiating credit facility.
  • Provided representation to publicly-owned, seismic survey company in $50 million debt offering, and other public filings (including Forms 10-K, 8-K and DEF 14A).
  • Advised entities in various industries regarding corporate formation and organization, shareholder and buy-sell agreements, employment and consulting arrangements, employee compensation matters, and drafting and implementation of business plans.
